Client Responsibilities

Clients agree to:

• Supply all necessary content, images, logos, and materials required for the project.

• Review deliverables and provide timely feedback.

• Make payments according to the agreed schedule.

• Ensure they have the legal rights to all content provided to us.

Payments

Payment terms will be outlined in the project proposal or invoice.

• Deposits may be required before work begins.

• Final deliverables may be withheld until full payment is received.

• Late payments may result in project delays or suspension of services.

Project Timelines

Estimated completion dates are provided in good faith. Delays caused by incomplete information, delayed approvals, or changes requested by the client may extend the project timeline.

Revisions

Reasonable revisions are included as specified in the project agreement. Requests beyond the agreed scope may incur additional charges.

Intellectual Property

Upon receipt of full payment, ownership of the final approved project deliverables transfers to the client unless otherwise agreed in writing.

Apex Digital Solution LLC retains the right to display completed work in its portfolio and marketing materials unless otherwise agreed.

Third-party software, plugins, themes, fonts, stock images, or licensed assets remain subject to their respective licensing terms.

Third-Party Services

Projects may involve third-party providers such as hosting companies, payment gateways, domain registrars, plugins, APIs, or software services. We are not responsible for interruptions, outages, pricing changes, or policies of third-party providers.

Website Maintenance

Unless covered under an active maintenance agreement, clients are responsible for keeping their website, plugins, themes, and software updated after project completion.

Limitation of Liability

To the maximum extent permitted by law, Apex Digital Solution LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services or website.

Our total liability shall not exceed the amount paid by the client for the specific service giving rise to the claim.

Warranties

We provide our services using commercially reasonable skill and care. Except as expressly stated, all services are provided “as is” without warranties of any kind, whether express or implied.

Termination

Either party may terminate a project by providing written notice.

The client remains responsible for payment for all work completed up to the termination date.

Refund Policy

Due to the custom nature of digital services, payments made for completed work are generally non-refundable unless otherwise stated in a written agreement.

Privacy

Your use of our website is also governed by our Privacy Policy.

Governing Law
