The scope of each project will be defined in a separate proposal, quotation, or agreement.

Client Responsibilities

Clients agree to:

• Provide accurate project requirements and information.
• Supply all necessary content, images, logos, and other materials.
• Review project deliverables and provide timely feedback.
• Make payments according to the agreed schedule.
• Ensure they have the legal rights to all content provided.

Payments

• Payment terms will be outlined in the project proposal or invoice.
• Deposits may be required before work begins.
• Final deliverables may be withheld until full payment is received.
• Late payments may result in delays or suspension of services.

Project Timelines

Estimated completion dates are provided in good faith. Delays caused by incomplete information, delayed approvals, or requested changes may extend project timelines.

Revisions

Reasonable revisions are included as outlined in the project agreement. Additional revisions outside the agreed scope may incur extra charges.

Intellectual Property

Upon receipt of full payment, ownership of the final approved deliverables transfers to the client unless otherwise agreed in writing.

Apex Digital Solution LLC reserves the right to display completed work in its portfolio and marketing materials unless otherwise agreed.

Third-party software, plugins, themes, fonts, stock images, APIs, and licensed assets remain subject to their respective licensing terms.

Third-Party Services

Projects may involve third-party providers such as web hosting companies, payment gateways, domain registrars, plugins, APIs, software providers, and cloud services. Apex Digital Solution LLC is not responsible for interruptions, outages, pricing changes, or policy changes made by these third parties.

Website Maintenance

Unless covered under an active maintenance agreement, clients are responsible for maintaining their website, including updates to themes, plugins, software, backups, and security after project completion.

Limitation of Liability

To the maximum extent permitted by law, Apex Digital Solution LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our website or services.

Our total liability shall not exceed the amount paid by the client for the specific service giving rise to the claim.

Warranties

We provide our services using commercially reasonable skill and care. Except as expressly stated, all services are provided “as is” without warranties of any kind, whether express or implied.

Termination

Either party may terminate a project by providing written notice.

The client remains responsible for payment for all work completed up to the termination date.

Refund Policy

Due to the custom nature of digital services, payments made for completed work are generally non-refundable unless otherwise stated in a written agreement.
